Dear Members,
At last weeks AFA Board of Directors meeting the America West Agenda item seeking to challenge the AFA Date of Hire Merger Policy was debated. The item was assigned to an agenda committee where both sides made their case. After presentations by America West and US Airways AFA leaders the committee deliberated for several hours. The committee voted 9 to 1 recommending the Board of Directors "NOT ADOPT" the America West Agenda item with the America West representative dissenting.
AMW AFA leadership then sought to bring a "Resolution" to the Board that among other things proposed the Board to agree, "The merger has produced complexities in the base and system-wide seniority lists of both carriers that may result in challenges for America West Flight Attendants when integrating a system wide seniority list with US Airways Flight Attendants." Any resolution would have to be adopted by the Board and with that process a further debate could have ensued, possibly resulting in an outcome different from the committee's recommendation.
After further negotiations I proposed the Resolution be replaced by a Letter of Agreement between the two parties reaffirming the Date of Hire Policy and committing both sides to negotiate solutions that continue to "honor the Merger Policy as contained in Section X of the AFA Constitution and Bylaws, while addressing the merger concerns of America West and US Airways Flight Attendants." The proposal was accepted and AMW representatives tabled their Agenda Item and entered the Letter of Agreement into the record. A copy of the complete Letter of Agreement is posted

Comments made in the October 24, 2005 edition of AFA Interactive stating, "MEC representatives and negotiating committee members from AMW and USA will hold meetings for three consecutive weeks with AFA-CWA collective bargaining representatives to discuss different options that are equitable to both parties," have caused undue concern.
By the Letter of Agreement, we simply agree we to negotiate Transition and Merged Collective Bargaining Agreements in "good faith" as required by the AFA Constitution and Bylaws. The Letter of Agreement does not in any way indicate we will discuss any options that would alter the Date of Hire Policy. We will continue to address the merger concerns of
both groups of flight attendants while working within the guidelines of the AFA Merger Policy.
I have addressed this issue with AFA International President Pat Friend indicating the AFA Interactive article was misleading as to the outcome of last weeks AFA Board of Directors Meeting.

Transition Agreement and Merger Negotiations Commitment
________________________________________________________________________
THIS LETTER OF AGREEMENT is made and entered into in accordance with Section X of the AFA Constitution and Bylaws and between Flight Attendants in service at America West Airlines, Inc. and US Airways, Inc. as represented by the Association of Flight Attendants -CWA, AFL-CIO and by and through the Master Executive Councils of the America West MEC and US Airways MEC.
Whereas, The AFA Merger Policy provides for a date-of-hire formula when two-(2) AFA carriers merger and that such policy was openly debated during the 2005 AFA Board of Directors meeting in Palm Springs, California, and
Whereas, The 2005 AFA Board of Directors meeting affirms the current Merger Policy and Labor Protective Provisions as written in Section X of the AFA Constitution and Bylaws, and
Whereas, America West and US Airways management, during the initial merger agreement process, issued a Labor Principles Statement, which inappropriately commented and potentially interfered with union merger policy and contractual provisions, and
Whereas, AFA leaders at America West and US Airways commit to work toward an agreement to make the America West - US Airways merger successful for all AFA members at the new US Airways, and
Whereas, the 2005 AFA Board of Directors recognizes the challenges faced by AFA members at America West and US Airways and the long struggle for job security protections for AFA members at both America West and US Airways, and

Therefore, the parties agree: that America West and US Airways AFA officers and merger committee representatives negotiate solutions that continue to honor the Merger Policy as contained in Section X of the AFA Constitution and Bylaws, while addressing the merger concerns of America West and US Airways Flight Attendants.
IN WITNESS WHEREOF, the parties hereto agree to execute this Letter of Agreement effective this 20th day of October, 2005.
